TERMS OF SERVICE Version: 2026-07-06 (v1) Effective date: July 6, 2026 These Terms of Service (“Terms”) are a binding agreement between you and the operator of Roads (“Roads,” “we,” “us,” or “our”). By accessing or using our websites, mobile applications, or related services (collectively, the “Services”), you agree to these Terms. If you do not agree, do not use the Services. 1. THE SERVICES Roads provides an online marketplace and related tools that help drivers discover, request, and pay for overnight vehicle parking offered by independent hosts (“Sellers”). Roads is not the owner or operator of listed parking locations unless we expressly state otherwise in writing for a specific listing. Separate agreements in the product may apply based on your role (for example, Member User, Community Partnership, Conduct & Etiquette, or Liability Waiver). If there is a conflict between these Terms and a role-specific agreement you have accepted, the role-specific agreement controls for that subject matter. 2. ELIGIBILITY AND ACCOUNTS You must be able to form a binding contract in your jurisdiction and meet any age or licensing requirements we specify. You agree to provide accurate registration information and keep it current. You are responsible for activity under your account and for safeguarding your credentials. Membership or account approval may be required to book or host, as described in the product. We may refuse, suspend, or terminate accounts at our discretion for policy violations, fraud, safety concerns, or legal compliance. 3. BOOKINGS AND HOST RELATIONSHIPS When you complete a booking, you may enter a direct relationship with the host for use of the space. Host rules, access instructions, and stay limits shown at booking apply to your stay. Unless stated otherwise in the listing or checkout flow, stays are subject to platform booking limits (including a maximum stay length per booking as shown in the product). Cancellations, refunds, and disputes may be handled according to policies shown in the Services and by our support team. Roads may facilitate communication and resolution but does not guarantee a particular outcome. 4. PAYMENTS Fees, taxes, and payment timing are shown at checkout or in host payout settings. Roads and third-party payment processors (such as Stripe) may process payments on behalf of hosts or as otherwise disclosed. You authorize us and our payment partners to charge your selected payment method for amounts you owe. Moving payments off-platform to avoid fees or protections is prohibited unless Roads expressly permits it in writing for a specific program. 5. ACCEPTABLE USE You agree not to: - Violate law or third-party rights - Misrepresent identity, vehicles, listings, availability, or access - Harass, threaten, or discriminate against others - Misuse, scrape, reverse engineer, or overload the Services - Circumvent security, verification, or payment flows - Use the Services for unlawful or fraudulent activity We may remove content, restrict features, or terminate accounts for violations. 6. HOST AND DRIVER RESPONSIBILITIES Hosts are responsible for the accuracy of listings, lawful right to offer spaces, safe access where under their control, and compliance with applicable laws (including tax and zoning requirements). Drivers are responsible for lawful vehicle operation, following host rules, arriving during booked windows, and using spaces only as permitted by the listing. 7. INTELLECTUAL PROPERTY The Services, including software, design, and branding, are owned by Roads or its licensors. You receive a limited, non-exclusive license to use the Services for their intended purpose. You may not copy, modify, or distribute our materials except as allowed by law or with our permission. You grant Roads a non-exclusive license to use content you submit (such as listing photos or reviews) as reasonably necessary to operate and promote the Services. 8. DISCLAIMERS EXCEPT WHERE PROHIBITED BY LAW, THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” WE DO NOT WARRANT UNINTERRUPTED OR ERROR-FREE OPERATION. TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM IMPLIED WARRANTIES SUCH AS MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. 9. LIMITATION OF LIABILITY TO THE MAXIMUM EXTENT PERMITTED BY LAW, ROADS AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM OR RELATED TO THE SERVICES OR THESE TERMS. OUR AGGREGATE LIABILITY FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICES OR THESE TERMS IS LIMITED TO THE GREATER OF (A) THE AMOUNT YOU PAID TO ROADS IN PLATFORM FEES IN THE TWELVE (12) MONTHS BEFORE THE CLAIM OR (B) ONE HUNDRED U.S. DOLLARS (US$100), UNLESS A DIFFERENT MINIMUM IS REQUIRED BY LAW. Some jurisdictions do not allow certain limitations; in those cases, our liability is limited to the fullest extent permitted by law. 10. INDEMNITY You will defend and indemnify Roads and its affiliates against third-party claims arising from your use of the Services, your content, your listings or stays, your breach of these Terms, or your violation of law or third-party rights, except to the extent caused by our gross negligence or willful misconduct. 11. CHANGES We may modify the Services or these Terms. We will provide notice of material changes as required by law or through the app, email, or other reasonable means. Continued use after the effective date may constitute acceptance. 12. TERMINATION You may stop using the Services at any time. We may suspend or terminate access for any reason permitted by these Terms or law. Provisions that by their nature should survive (payment obligations, disclaimers, limitations, indemnity, disputes) survive termination. 13. DISPUTES AND GOVERNING LAW Unless prohibited by law, these Terms are governed by the laws of the State in which Roads is formed, without regard to conflict-of-law rules. You agree to the exclusive jurisdiction and venue of the state and federal courts located in that State for disputes arising from these Terms, subject to mandatory consumer protections in your place of residence. 14.
